Can an Indian resident be the sole director of a UK Ltd?

Yes. There's no requirement for a director or shareholder to be a UK resident, or even to hold UK citizenship. A single person based entirely in India can be the sole director and sole shareholder of a UK Private Limited Company.

Is a physical UK office required?

A physical office isn't required, but a UK registered office address is — this is where official correspondence from Companies House and HMRC is sent, and it's publicly listed on the company's record. Most non-UK founders use a registered office service rather than a real workspace.

When does VAT registration become mandatory?

VAT registration is compulsory once taxable turnover crosses £90,000 in any rolling 12-month period, not a fixed tax year. You have 30 days from crossing that threshold to register with HMRC. Voluntary registration below that level is also an option, and can make sense if most of your customers are VAT-registered businesses.

What is a Confirmation Statement?

It's a yearly filing with Companies House confirming that the company's registered details — directors, shareholders, registered office, and SIC code — are still accurate, or updating them if they've changed. It's separate from annual accounts and required even if nothing at all has changed during the year.

What happens if annual filings are missed?

Late or missing filings can lead to penalties from HMRC, and persistent non-compliance with Companies House can result in the company being struck off the register entirely. A struck-off company loses its legal status, which affects any contracts, bank accounts, or assets still held in its name.
